By accessing or using the Services, you agree to be legally bound by these Terms.

2. Eligibility and Business Use

The Services are provided for business and commercial use only. You represent that you have authority to bind the entity you represent and that your use complies with all applicable laws.

We may suspend or terminate access if eligibility requirements are not met.

3. AI Nature of Services and Limitations

The Services rely on artificial intelligence, automation, and probabilistic systems.

AI-generated outputs may be inaccurate, incomplete, misleading, biased, or inappropriate. Purple Nexus does not guarantee the accuracy or suitability of any AI outputs.

You assume all risks associated with reliance on AI-generated content.

4. Testing and Acceptance

Before deploying the Services in any production or customer-facing environment, you must thoroughly test all agents, workflows, prompts, and integrations.

Deployment in a live environment constitutes acceptance of the Services "as is".

5. Voice Calls, Chat Services, and Communications

The Services may include automated voice calls, chat interactions, messaging, and digital communications.

Calls and chats may be recorded, stored, processed, and analysed for service delivery, quality assurance, training, and compliance.

You are solely responsible for obtaining any required consents from end users.

6. Privacy and Regulatory Compliance

Purple Nexus takes reasonable steps to respect privacy and confidentiality.

You are solely responsible for ensuring compliance with privacy, telecommunications, consent, recording, marketing, and data protection laws in all applicable jurisdictions.

7. Data Rights, Ownership, and Usage

You retain ownership of data you submit ("Customer Data").

You grant Purple Nexus a worldwide, perpetual, irrevocable, royalty-free, sublicensable licence to use Customer Data to operate, maintain, improve, and develop the Services.

Purple Nexus owns all system logs, analytics, metadata, usage statistics, and performance data ("Platform Data").

You authorise Purple Nexus to use interaction data for training, testing, research, and improvement of AI models.

Aggregated and de-identified datasets are owned exclusively by Purple Nexus.

8. Intellectual Property

All intellectual property in the Services remains the exclusive property of Purple Nexus or its licensors.

You are granted a limited, non-exclusive, non-transferable licence for internal business use only.

9. No Warranties

The Services are provided "as is" and "as available".

Purple Nexus disclaims all warranties, including accuracy, fitness for purpose, availability, reliability, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Purple Nexus is not liable for any indirect, incidental, consequential, or special damages.

This includes loss of profits, revenue, data, customers, reputation, or regulatory penalties.

Where liability cannot be excluded, total liability is limited to fees paid in the three (3) months preceding the claim.

11. Bugs, Errors, and Service Availability

The Services may contain bugs, vulnerabilities, errors, or interruptions.

Purple Nexus is not responsible for losses arising from system failures, outages, or third-party services.

12. Indemnity

You agree to indemnify and hold harmless Purple Nexus from all claims, losses, damages, liabilities, penalties, and costs arising from your use of the Services or breach of these Terms.

13. Security

We implement reasonable technical and organisational safeguards.

You are responsible for protecting your credentials and account access.

14. Suspension and Termination

We may suspend or terminate access if your use creates legal, security, or reputational risk.

Upon termination, all licences immediately cease.

15. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of updated Terms.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of Australia.

The courts of the relevant Australian state or territory have exclusive jurisdiction.
